The London-based payment infrastructure company OpenPayd's CEO Iana Dimitrova told CoinDesk that the company expects to complete its merger with Titan Acquisition Corp. and list on Nasdaq by the end of this year. The transaction is still subject to the effectiveness of the registration statement with the U.S. Securities and Exchange Commission and approval from Titan shareholders, with the stock ticker expected to be OP after listing. According to the announced terms, the implied equity value of OpenPayd in the transaction could reach up to $1.1 billion.OpenPayd provides account, foreign exchange, and domestic and international payment services to companies such as Kraken, B2C2, and OKX, and offers infrastructure for converting between fiat currencies and stablecoins, having integrated with the Circle payment network and Fireblocks payment network. Last month, the company incorporated MSB USA Inc. and its 43 state-level money transmission licenses into the group, planning to launch services for U.S. customers by April 2027. For the fiscal year ending April 30, 2026, the company reported revenue of $73 million, up from $57 million in the previous fiscal year, with an EBITDA of $13 million and a net loss of $2.8 million. A company spokesperson stated that the loss was entirely due to a one-time transaction cost of $5.8 million related to this merger.Dimitrova stated that the company intends to acquire businesses that can provide licenses or technology to accelerate its entry into new markets. The listing will provide funding and publicly traded stock that can be used for transactions and collaborations. The company is also considering a private placement before the merger to raise growth capital.

first_img Coinbase obtains ADGM license to build a tokenized securities hub

The cryptocurrency exchange platform Coinbase has obtained a Financial Services License (FSP) issued by the Financial Services Regulatory Authority (FSRA) of the Abu Dhabi Global Market (ADGM). This license allows it to arrange investment transactions and provide custody for tokenized securities. Coinbase describes this license as the regulatory foundation for its international tokenization hub and the first of its two major non-U.S. institutional businesses established in the UAE, the other being its derivatives business in Dubai.According to the scope of the license, the FSP covers the arrangement and custody of tokenized stocks fully backed by underlying shares. Holders of digital securities can gain economic exposure such as dividends, while voting rights and redemption rights are subject to the conditions outlined in each prospectus. Coinbase states that investors only need a crypto wallet to trade, and secondary transfers do not require a brokerage account or banking relationship, but redeeming profits for fiat currency still requires a bank or brokerage account.Brett Tejpaul, Co-President of Coinbase Institutional: Currently, there is no major financial center that has established a framework that simultaneously regards tokenized stocks as securities, blockchain-native tokens, and composable DeFi assets. Arvind Ramamurthy, Chief Market Development Officer of ADGM, stated that the Coinbase hub reflects the center's progressive, robust, and internationally aligned regulatory framework. The FSRA issued its first virtual asset rules in 2018, which include protective measures such as sanctions screening and the ability to freeze or seize assets at the wallet level. ADGM applies English common law, and the FSRA's authority differs from that of the UAE Securities and Commodities Authority; registered entities do not automatically obtain a passport in other Gulf Cooperation Council jurisdictions.

first_img DogeOS launched a public testnet, introducing EVM smart contracts for Dogecoin

DogeOS, the application layer of Dogecoin, launched its public testnet on Wednesday, introducing EVM-compatible smart contracts to the Dogecoin network as a zero-knowledge rollup, with DOGE as the native token for transaction fees. The project aims to support applications such as trading, lending, stablecoins, prediction markets, and gaming, while settling state back to the Dogecoin network.DogeOS currently uses a trusted execution environment, validators, and a permissioned sequencer to ensure network security. Future proposed upgrades to Dogecoin Core will allow Dogecoin miners to directly verify their execution proofs. DogeOS CEO Jordan Jefferson stated that Dogecoin does not currently verify ZK proofs on its own, and bridging state transitions requires valid proofs as well as signatures from a majority of validators and TEE signers. He mentioned that the team is currently focused on the public testnet, allowing developers time to build and test applications, with the mainnet timeline to be announced upon reaching the next development milestone.DogeOS comes from the MyDoge wallet team, which announced a $6.9 million funding round led by Polychain Capital in May 2025. Two months later, the DogeOS team submitted a proposal for a Dogecoin Core upgrade to add native ZK proof verification for Dogecoin, but this upgrade has not yet been implemented. Timothy Stebbing, a director of the Dogecoin Foundation, expressed hope that DogeOS will serve as a springboard for a new wave of practical engineering.

first_img The CFTC submitted two rules, intending to include event contracts in the definition of swaps

According to CoinDesk, the U.S. Commodity Futures Trading Commission (CFTC) has submitted two rules for review to the Office of Management and Budget (OMB). One rule aims to include event contracts within the regulatory definition of swaps, while the other is a "temporary final rule" that seeks to exclude "casino-style gambling products" from the scope of swaps. These two rules were received by the OMB this week, with the document dated September 28. OMB review is typically the last step before rules are submitted for public comment, and the temporary final rule will take effect immediately while allowing for subsequent public input and revisions. This move comes as the CFTC engages in a tug-of-war with multiple states over the nature of prediction markets. Event contracts are typically binary yes-or-no bets on measurable outcomes such as sports events and elections. Last week, the U.S. Sixth Circuit Court of Appeals ruled that Kalshi's sports contracts do not fall under swaps and should be governed by state gambling regulations, while the Eighth Circuit Court of Appeals made a similar ruling; however, the Third Circuit Court of Appeals previously determined that the CFTC has jurisdiction over prediction markets, creating a legal divergence at the federal level. CFTC Chairman Mike Selig believes that the CFTC has exclusive jurisdiction over prediction markets. If event contracts are classified as swaps and not as gambling products, it could weaken the positions of various states in multiple lawsuits against prediction market platforms like Kalshi. The CFTC is legally required to consist of five commissioners, but President Trump has yet to nominate additional commissioners, leaving Selig as the sole commissioner, who is unilaterally advancing regulatory and policy decisions. Additionally, information disclosed by the OMB indicates that the CFTC recently submitted a "pre-rule" focusing on cryptocurrency regulation to the White House.
