Upbit's parent company Dunamu has undergone changes in its stock swap transaction with NAVER: it may face conflicts regarding regulatory shareholding limits

According to a report by the Korean News Agency, the stock exchange transaction between Upbit's parent company Dunamu and NAVER Pay, a subsidiary of South Korean internet giant NAVER, may have uncertainties. Data disclosed by the Legislative Investigation Office of the Korean National Assembly indicates that the related transaction may simultaneously face the minimum shareholding ratio for subsidiaries stipulated by the Fair Trade Act, as well as the maximum shareholding ratio limit for major shareholders of virtual asset exchanges.Currently, NAVER Pay does not seem to belong to a holding company, but if it becomes a holding company in the future and includes the exchange as a subsidiary, there may be a situation where two conflicting shareholding standards apply simultaneously, necessitating an adjustment of the governance structure. The Korean Fair Trade Act stipulates that a holding company's shareholding ratio in listed subsidiaries must not be less than 30%, and for non-listed subsidiaries, it must not be less than 50%; for venture capital holding companies, it is 20%. Additionally, the second phase of discussions on South Korean virtual asset legislation also involves setting a shareholding limit for major shareholders of exchanges to reduce the concentration of control and the risk of conflicts of interest among specific shareholders.

The Brazilian central bank requires cryptocurrency service providers to undergo financial audits and tightens licensing rules

According to Bits.media, the Central Bank of Brazil has tightened the licensing rules for virtual asset service providers, requiring them to undergo independent financial audits before obtaining operational licenses starting June 1. The auditing firms must not only examine the company's financial status but also review its compliance with anti-money laundering and counter-terrorism financing regulations, including whether the platform separates its own funds from customer assets, its risk management practices, and employee training. Auditors must be registered with the Brazilian Securities Commission. Cryptocurrency exchanges, brokerage firms, and custody services applying for a license for the first time must comply with these requirements from the start of the registration process, and companies that already hold licenses must also pass independent audits when renewing.Brazil first clarified in legislation in 2022 that virtual asset services are regulated by the central bank, establishing a category for licensed virtual asset service providers in November 2025. Additionally, Brazil recently imposed a complete ban on 28 betting and prediction market platforms, including Polymarket and Kalshi, on the grounds that they did not comply with local derivatives trading requirements. Starting October 1, Brazilian electronic foreign exchange providers will be prohibited from using cryptocurrencies for international remittances.

U.S. digital asset regulation is set to undergo a turning point: the CLARITY Act has gained bipartisan support and has entered a critical legislative phase

According to CoinDesk, during a recent Senate Banking Committee review, substantial progress was made in advancing the Digital Asset Market Clarity Act, referred to as the "CLARITY Act," which passed into the Senate full review stage with a vote of 15 to 9.Several bipartisan lawmakers emphasized the urgent need for the United States to establish a unified regulatory framework covering digital assets to clarify asset classification, trading platform regulation, and market structure rules, thereby providing long-term certainty for the industry. Angela Alsobrooks pointed out from a family perspective that the younger generation shows a natural interest in digital assets, and the regulatory system should strike a balance between "opportunity and protection" to avoid technological development being detached from regulatory constraints. Tim Scott emphasized that legislation should be promoted from the perspective of economic opportunity and the American Dream, while Cynthia Lummis stated that the legislative process has already shown a clear foundation for bipartisan cooperation.Supporters believe that digital assets have become an irreversible trend, with approximately 68 million Americans holding related assets, but a significant amount of trading still occurs on overseas platforms. The U.S. urgently needs to establish a domestic regulatory system to enhance market transparency and investor protection levels.Analysis indicates that the CLARITY Act is seen as a key complement following the stablecoin-related legislation (GENIUS Act). Without supporting rules at the market structure level, the U.S. may lose its leading position in the competition for digital financial infrastructure. As the bill advances to the Senate full stage, there is widespread attention on whether it can achieve final legislation based on bipartisan consensus to establish the core rules of the U.S. digital asset regulatory framework.
